Sr. Corporate Counsel, Securities and M&A

We are seeking a highly motivated independent mid-level corporate attorney to join our in-house legal team at Box (NYSE: BOX), a fast-paced, publicly-traded, global technology company that is a leading provider of enterprise cloud content management. We’re a nimble legal team supporting a globally growing company, so you’ll cover a lot of ground. The position will be located at Box’s HQ, Redwood City, California.


  • Work on SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s and Section 16 filings
  • Collaborate with Box’s Finance, Accounting, IR and Communications teams on external communications such as earnings releases and press releases
  • Support Box’s Corporate Development team on mergers & acquisitions
  • Assist with corporate governance matters, including Board and Committee support and policies
  • Work closely with Box’s People and Equity teams on Box’s equity plans and ESPP, and administer Box’s Insider Trading Policy and 10b5-1 plans
  • Work with Legal team members on international subsidiary governance and secretarial matters
  • Ensure compliance with SEC and NYSE rules and regulations
  • Provide support for other projects, as needed

Skills & Experience

  • JD and California bar (or eligibility to become a registered in-house counsel) with excellent academic credentials
  • At least five years of relevant corporate experience; top tier law firm and in-house representation of technology companies preferred
  • ’33 and’34 Act disclosure and reporting experience
  • M&A experience
  • Corporate finance experience
  • Representation of public companies on governance issues and Board support
  • Team player focused on helping others achieve corporate objectives; ability to lead cross-functional groups and operate in a fast-paced, flexible culture
  • Excellent oral and written communication skills
  • Excellent organizational skills and ability to prioritize and work independently
  • Practical, proactive, business-savvy and results-oriented
  • High ethical standards; ability to maintain the confidentiality of non-public corporate information
