We’re looking for a company secretary to work alongside a team of like-minded high-performing individuals, working on engagements for large Global clients.
 
THE ROLE: 
This is a permanent, full-time opportunity to join our Legal Entity Management team dedicated to providing support to our clients. As a member of our team, you’ll be responsible for providing company secretarial support with direct access to the client’s senior management.

Responsibilities

  • Board related matters: These include organizing board and board committee meetings; collating board materials; attending meetings and taking minutes; monitoring action items.

  • Governance responsibilities: These include promoting and driving consistent standards of legal entity governance and oversight in accordance with internal client models and standards; providing directors, senior management and legal entities with support and training across corporate governance matters, including in relation to relevant laws and regulations, governance practices and legal entity management; and assisting as appropriate with local, regional and global regulatory and governance projects. 

  • Legal entity related matters: These include maintaining corporate records and certifications; support on the application of corporate procedures and record retention as relates to governance matters and internal procedures; oversight of Blueprint to ensure data is maintained by all users to facilitate regulatory reporting; creation and maintenance of investment structure charts for company secretarial and regulatory support; regular legal entity reporting and analysis to senior management on entity population.

  • Compliance and Regulatory matters: These include dealing with Compliance, KYC, and AML requests.

Qualifications

  • ICSA Qualification or MSc Management & Corporate graduate
  • A minimum of 2+ years company secretarial or Compliance/Regulatory experience
  • Familiar with differences between Private Investment Funds, Public Investment Funds, Registered Funds;
  • Prepare and file corporate documentation, including articles of incorporation, bylaws, board and shareholder minutes, resolutions, consents, powers of attorney and statutory filings or certifications; manage the database of records and corporation information for all subsidiaries; and engage and direct the work of corporate agents and outside subsidiary management vendors.
  • Prepare resolutions as needed for annual consents, dividends, projects, officer appointments and director elections.
  • Maintain entity data for assigned entities in Diligent Entities, in internal files, and complete quarterly attestations on the Diligent tool, as required.
  • Support Board and Committee meetings, including drafting corporate governance documents, such as agendas, resolutions, consents, minutes and notices of meetings; and assisting with the distribution of meeting materials and the coordination of Board meeting logistics.
  • Experience working within the financial services sector
  • Knowledge of US regulatory environment.
  • Excellent attention to detail
  • Regular client-facing experience
  • Good commercial awareness, working directly with business managers
  • Strong written and verbal communication and presentation skills
  • Strong working knowledge of Microsoft Office, particularly Excel

Desired Qualifications

  • Familiarity with Blueprint Company Secretarial Software
  • Knowledge of company’s legislation outside of the UK
  • Exposure to Pan-European investment structures

The anticipated salary range for this role is $118,684 - $136,486.  The specific salary offered to an applicant will be based on their individual qualifications, experiences, and an analysis of the current compensation paid in their geography and the market for similar roles at the time of hire.  This anticipated range excludes the value of any potential incentive bonus and the value of any benefits offered. 

ADDITIONAL INFORMATION
As a member of an ISO Compliant center, the candidate will be required to follow the policies and procedures on Information Security Management System in place at the Center of Excellence and globally at Factor. As a member of the Factor team, the applicant will have access to various company and client assets and will be required to maintain the level of security as identified for each asset.
