Commercial Counsel
TLDR

- Draft, review, negotiate, and manage a broad range of commercial agreements, including customer contracts, reseller agreements, data processing agreements, and technology partnerships
- Lead complex contract negotiations with enterprise customers, procurement teams, legal counterparts, and strategic partners
- Provide practical, business-oriented legal advice that balances risk management with commercial objectives
- Partner with internal stakeholders to support sales and go-to-market initiatives while facilitating efficient deal execution
- Advise on privacy, cybersecurity, and data protection provisions within commercial agreements
- Collaborate with security, compliance, and operational teams to align contractual obligations with organizational capabilities and policies
- Develop, maintain, and improve contract templates, negotiation playbooks, fallback positions, and legal processes
- Support legal operations initiatives designed to improve scalability, efficiency, and consistency across contracting workflows
- Monitor legal and regulatory developments impacting commercial transactions, technology services, privacy, and emerging technologies
- Contribute to the ongoing development and maturity of the legal function as the organization continues to grow
- Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one U.S. state bar
- 3–8 years of relevant legal experience, preferably including in-house counsel experience within a technology-focused environment
- Demonstrated expertise negotiating and drafting complex commercial agreements independently
- Strong business acumen with the ability to translate legal complexity into practical, actionable business guidance
- Experience supporting sales, business development, or go-to-market teams in a fast-paced environment
- Knowledge of privacy, data security, and cybersecurity-related contractual requirements
- Familiarity with AI-related legal, contractual, or regulatory considerations is preferred
- Excellent written, verbal, and interpersonal communication skills
- Strong organizational and project management abilities, with the capacity to manage multiple priorities simultaneously
- Ability to work effectively in a remote and distributed environment across different time zones
- Collaborative, solution-oriented mindset with a strong focus on stakeholder partnership
- Experience negotiating enterprise agreements with large organizations and procurement teams is preferred
- Familiarity with reseller, channel, managed service provider (MSP), or partner agreements is a plus
- Prior experience in cybersecurity, software, SaaS, or technology industries is highly desirable
