Company Secretary

What you'll do

• Statutory compliance – preparing and filing all companies house requirements, including annual reports, accounts and confirmation statements etc
• Corporate transactions – support the legal and strategy teams with M&A transactions
• Board support – drafting board meeting agendas, support with preparing and publishing board packs, minute taking, post-board actions and advising on corporate governance matters
• Share scheme – knowledge of different types of share scheme and share registers - you will manage the employee share scheme
• Team tasks – keeping procedures up to date and compliant with regulatory requirements; maintaining structure charts; maintaining statutory registers; building a team
• Overseas support – support with our businesses overseas as we continue to enter new countries
• Collaboration - you’ll work closely with people across all levels, in particular the legal, finance and strategy teams. You will also work closely with various members of the team across all levels and will be independent and run with your own projects with relatively light supervision

What you'll need

• We’re looking for someone who is smart, versatile and up for the challenge of working on a wide variety of different transactions
• Must be ICSA qualified (at least FCIS)
• Substantial experience in a Company Secretariat team, preferably in professional services and/or in a fund/investment firm
• Excellent minute taking skills
• Experience in supporting in corporate transaction work such as M&A’s and group restructures
• Experience in managing employee share schemes 
• Some knowledge of the listing rules and disclosure and transparency rules would be helpful but is not essential
• Proficient in using any board pack software (such as Board Intelligence) and entity management software (such as Diligent)
• You must be comfortable operating in a fast-paced environment with direct exposure to senior management and stakeholders.
• Be excellent at working proactively and efficiently, happy to multi-task and manage a variety of transactions at any given time
• A desire to be part of a tight and ambitious team, willing to work hard and ‘muck in’ to help out other members of the team
