Position Summary

The Legal Contracts Manager will work closely with our Head of Legal  to oversee the management of PatSnap legal contracts and ancillary matters related thereto.

The Legal Contracts Manager will be responsible for proactively managing and supporting all sales inquiries and negotiation of customer and vendor contracts. This role requires full contract administration responsibilities, including drafting, negotiating, and administering contracts.

You will have the opportunity to coordinate closings, support the implementation of new legal technology platforms, participate in special projects and initiatives throughout the company, and help build our best-in-class Legal team. As PatSnap continues to scale, this position will be pivotal in ensuring that we continue to scale our legal department to support our future growth plans. You will also be responsible for managing and supporting contract inquiries for both customer and vendor contracts, which requires full contract administration responsibilities, including drafting, negotiating, and administering contracts.

Additionally, the Legal Contracts Manager will collaborate cross-functionally amongst various departments within PatSnap, by engaging with other key stakeholders, such as finance, HR and revenue operations.  In particular, you will provide advice as to the company’s contractual rights and obligations, help solve complex commercial projects, assess and manage risks, and serve on the front lines of contract negotiations. The Legal Contracts Manager will maintain PatSnap’s operational performance standards, including accuracy, quality work product, efficiency, and compliance.

This role reports to PatSnap’s Head of Legal  located in Toronto, and the ability to work autonomously is imperative.

Primary Responsibilities

  • Draft and negotiate sophisticated commercial contracts to ensure contractual relationships with clients and vendors align with PatSnap’s business goals and risk tolerance guidelines
  • Proactively support a growing sales team in all contract-related issues, including negotiating contract terms, assessing and managing risks, and advising on commercial special terms when needed
  • Provide support to and collaborate with other functions such as HR, recruitment, finance, and revenue operations when needed, in reviewing contractual terms with other third parties, such as vendors and employees
  • Lead contract negotiations with customers and vendors alike, ensuring that compliance is achieved, and consistency of contractual obligations is met
  • Provide support and feedback in the development and implementation of cross-jurisdictional department processes and procedures
  • Provide ongoing support to the legal department, including but not limited to leading any required special projects, reporting, distribution of contract templates to sales
  • Collaborate with the management team to support the development and implementation of the operational infrastructure designed to accommodate the business’ growth objectives
  • Accountable for meeting business targets and timelines, by proactively driving contracts and files to completion
  • Responsible for driving sales, finance, legal, and other contributors by coordinating closings and quarterbacking contracting initiatives
  • Manage overlapping and coinciding deadlines in high volume and high pace environment
  • Show effective stakeholder management, project management, time management, cross-functional team leadership, risk management, and change management
  • Draft and negotiate various contract documents including amendments, addendums, service agreements, sales agreements, master agreements, notices, letters, and other binding and non-binding documentation, etc. to ensure compliance as well as meet business and customer needs
  • Escalate effectively while actively providing recommendations
  • Apply critical thinking and problem-solving skills to propose business solutions
  • Retain accountability and oversight on overall contract compliance with internal and external guidelines, policies, and legislation
  • Provide subject matter expertise and interpretation of contractual terms
  • Develop and monitor compliance protocols for company-wide policies, booking processes, and revenue recognition matters
  • Retain strong legal, regulatory, and financial knowledge by interacting with and seeking guidance from the Head of Legal, in order to keep your knowledge up to date
  • Provide training for all relevant groups on contract, corporate and financial matters
  • Identify and lead process improvements, develop tools to streamline and increase efficiency, and take on projects to add value to the department and the organization
  • Deliver quality results with a continuous view of department and company objectives

Skills Required

  • 3 or more years of contract management experience within the software and technology Industry
  • Demonstrated proficiency in Word, and Excel, Salesforce, SharePoint and DocuSign
  • Experience with international contracts
  • A legal qualification would be an advantage
  • Attention to detail and intellectual independence are paramount to achieve success in this position
  • Excellent interpersonal skills: ability to build and maintain strong relationships with relevant business teams; strong customer focus and demonstrated commitment to outstanding service delivery
  • Ability to work collaboratively with a team of diverse individuals, as well as with a legal team that is dispersed geographically
  • Ability to respond calmly, creatively, and quickly in a fast-paced, high-pressure, changing environment
  • Excellent oral and written communication skills, legal research skills, and organizational skills with an ability to demonstrate initiative and flexibility in adapting to changing priorities
  • Ability to exercise judgment, think practically, be solution-focused, and always maintain a high level of integrity, confidentiality, and diplomacy
  • Ability to demonstrate a high level of initiative, problem-solving, and decision-making
  • Ability to take ownership of large-scale projects while conveying a strong work ethic
  • Highly motivated, proactive, and reliable
  • Deep understanding of contract law ranging from commercial contracts, employment contracts, customer contracts, and corporate policies
  • Familiarity with SaaS contracts would be advantageous
