Legal Counsel
TLDR
Drive risk management and product strategy by drafting SaaS agreements, guiding data privacy, and shaping AI governance in a fast-growing tech environment.
1. Commercial SaaS & Strategic Partnerships
- Draft, review, and negotiate a high volume of commercial agreements, including SaaS subscription agreements, Master Service Agreements (MSAs), Professional Services Agreements, and Service Level Agreements (SLAs).
- Structure, draft, and negotiate strategic partnership, channel partner, reseller, and referral agreements to expand market reach.
- Manage vendor and procurement contracts, non-disclosure agreements (NDAs), and inbound technology transfers.
- Partner closely with Sales, Customer Success, and Business Development teams to streamline contract cycles and provide pragmatic, risk-adjusted legal advice.
- Act as embedded product counsel, collaborating with Product and Engineering teams from concept to launch to ensure "compliance-by-design."
- Review product roadmaps, new feature rollouts, and third-party software/API integrations to identify regulatory, intellectual property, and liability risks.
- Assess legal considerations for data ingestion, user workflows, and the technical integration of internal and customer-facing AI tools.
- Advise on global data privacy laws and regulations (e.g., GDPR, CCPA/CPRA, Law 25/PIPEDA) and draft/negotiate Data Processing Addendums (DPAs) and Standard Contractual Clauses (SCCs).
- Stay ahead of emerging AI regulatory frameworks and legal trends (e.g., EU AI Act, intellectual property implications of generative AI).
- Manage potential disputes, commercial claims, and active litigation matters under the direction of the General Counsel.
- Coordinate with and manage external counsel efficiently to ensure cost-effective representation and strategic alignment.
- Conduct internal investigations and formulate risk-mitigation strategies to prevent escalation.
- Support corporate governance, compliance, and employment law matters as needed.
- Assist with intellectual property management, including trademark enforcement and protecting proprietary software assets.
- Develop, update, and maintain internal legal playbooks, templates, and compliance policies to scale legal operations.

5. Full-Service General Corporate Support
- Education & Credentials: Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) from an accredited institution and active membership in good standing with a relevant Bar Association or Law Society.
- Experience: 2–3+ years of experience practicing law, ideally with a mix of top-tier law firm training and in-house experience at a technology/SaaS company.
- Product & Strategic Mindset: Experience or strong interest in acting as a product counsel, with the ability to analyze product integrations and technical workflows through a legal lens.
- Privacy & AI Acumen: Strong foundational knowledge of data privacy frameworks. Demonstrated familiarity with, or a keen interest in, AI legal issues, data scraping, and technology ethics.
- Commercial Acumen: Proven track record of negotiating commercial tech transactions and partnership frameworks with sophisticated enterprise clients and procurement teams.
- Communication: Exceptional drafting skills with the ability to translate complex legal concepts into clear, actionable advice for non-legal stakeholders.
- Remote Autonomy: Proven capability to work independently and collaboratively in a fully remote environment, maintaining strong communication channels across time zones.
