Legal Service/Logistics Legal Counsel (EM6666)

As Logistics Legal Counsel, you will be a part of Legal & Compliance team, and provide accurate, relevant, and timely legal support to various business stakeholders of the company’s Smart Logistics (SL) business. This position will draft, review, and negotiate commercial contracts in the context of global supply chain and logistics services, particularly relating to 3PL, 4PL transportation and warehousing, import/export, and customs. This position will also provide legal advice for a resolution of logistics claims and mitigate legal risks by ensuring compliance with all laws and regulations applicable to SL business. Qualified candidates must demonstrate excellent communication skills, understanding of the logistics and supply chain industry, ability to establish priorities and take actions, timely reporting to leadership, while collaborating within SL Legal & Compliance and business stakeholders within and outside the organization.

Key Responsibilities:
- Draft, review, and redline a wide range of contracts, including logistics services agreements, warehouse management agreements, transportation agreements for multiple modes of transportation including OTR, ocean, air, drayage and LTL/FTL, and the like
- Negotiate contract terms and conditions in collaboration with internal and external stakeholders
- Strive to achieve contract terms and conditions favorable to the company’s interests while maintaining strong client relationships
- Ensure all contractual arrangements align with legal and regulatory requirements and company policies
- Act as the internal subject matter expert to provide interpretation and explanation of contracts, applicable laws, rules and regulations
- Identify and analyze potential risks, and provide recommendations for risk mitigation
- Represent SL Legal in internal and external meetings, and communicate accordingly with third-party bodies such as customers, vendors, partners, outside counsel, auditors, insurance brokers/carriers, and the like
- Provide legal advice to SL business for the resolution of logistics-related claims, disputes, and/or complaints
- Support the claim process for logistics-related complaints and damage claims, and determine claim validity and coverage and/or liability
- Provide accurate, relevant, and timely counsel on the evolving trade laws and regulations applicable to the company, and their impact on strategy and operations
- Conduct training sessions for company employees to raise awareness of legal/contract issues and compliance requirements
- Stay up-to-date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect SL business, such as Federal Motor Carrier Safety Administration (FMCSA), Federal Maritime Commission (FMC), as well as privacy laws and regulations
- Monitor and advise on legal and regulatory developments in trade, import/export, logistics and supply chain management
- Create templates, workflows and promote legal compliance and best practices across the business
- Work across time zones and cultures with a cross-functional group of stakeholders
- Assist with litigation/alternative dispute resolutions and ad-hoc or special projects as requested
- Perform other duties as assigned or needed
Requirements
- JD or LLM from ABA-accredited law school
- Admitted to practice law in Texas or California, active member in good standing
- Minimum 5 years of legal practices including 2 years in the transportation or warehouse industry
- Deep subject matter expertise on logistics and warehousing contracts
- Working knowledge of US export and import, FMC rules and regulations, OSRA 2022 particularly relating to demurrage/detention
- Experience in multiple modes of transportation (e.g., truckload, flatbed, LTL, railroad, ocean import & export)
- Positive attitude and high energy to work in a fast-paced environment, maintain a sense of urgency, and perform with a clear head under pressure
- Demonstrate excellent verbal and written communication skills, articulate and present legal advice, generate written reports and work products
- Demonstrate a business-friendly approach to legal problem solving and able to provide practical advice as well as creative solutions
- Ability to work both independently and as a team player
- Proficient with Microsoft Office Suite (Word, Excel, PowerPoint) and legal research tools (Westlaw, Practical law); and ability to conduct Internet research and learn to use internal contract management tools (Cello)
- Ability to multitask and possess exceptional attention to detail
- Travel %: up to 10% throughout the U.S.

Your base pay is one part of our total compensation package and is determined within a range. This allows you to progress as you grow and develop within the position. The base pay range for this role is between $120,000 ~ $170,000 per year, and your base pay will depend on your skills, education, qualifications, experience, and location.
