Position Overview:

Diligent is seeking a Paralegal to assist the US legal team and provide support with contract administration and corporate entity management.  The role will involve reviewing legal documents and sorting documents in accordance with filing system along with drafting legal documents and amending documents as necessary. This is the perfect role for a detail oriented and proactive Paralegal who wants to grow their Legal career within a fast-moving commercial organization.


Key Responsibilities

  • Review and interpret contracts and other legal documents
  • Drafting documents using in-house templates
  • Managing templates and distributing to proper business groups to ensure most recent versions are being utilized
  • Interact with internal business partners and is a subject matter expert for contracts administration-related issues
  • Process documents for signatures via DocuSign
  • Scanning, filing and organizing documents
  • Providing general support on an as-needed basis
  • Experience with managing legal entities and records
  • Assistance in managing legal entities and maintaining entity database.
  • Assistance in distributing and tracking signature packets for multiple signers.

Required Experience/Skills

  • Experience with contract administration with emphasis on software agreements
  • Ability to read and understand contractual terms with strong experience in reviewing and amending agreements
  • Excellent written and oral communication skills
  • Ability to be flexible to changing priorities in a fast-paced environment
  • High attention to detail, strong organizational skills, and good analytical skills
  • Proficiency in Microsoft Office, Excel and working knowledge of Adobe Pro

Preferred Experience/Skills

  • Ability to take initiative to complete tasks
  • Ability to work both independently and within a team
  • Experience working with DocuSign is a plus
  • Experience with managing legal entities and record
